Acting for a lead European railway company in connection with two major projects of assistance to develop Georgian railway infrastructure;

 

Advising an Italian office of an international law firm on Georgian law aspects of public procurement of road and tunnel construction works by an Italian engineering firm;

 

Advising a Turkish energy company on Georgian regulation of electricity transmission, trade and transit in and across Georgia;

 

Advising a US-Israeli investor group on Georgian regulation in the hydropower generation sector for the purposes of constructing a hydropower plant;

 

Acting as lead Georgian counsel to major multinational petroleum consortia in relation to the drafting and negotiation of intergovernmental and host government agreements relating to the construction and operation of three major pipelines for transit of Caspian Sea oil and gas to western markets;

 

Advice to an international energy group on the privatization of real property, acquisition of land usage rights and privatization of state companies to consolidate ownership and operation of terminal assets;

 

Advice to Georgian state oil company on strategic co-operation and a memorandum of understanding with a neighbouring state oil company;

 

Due diligence and corporate advice to a Canadian energy company on the contemplated acquisition of a major Black Sea oil terminal and shipping berths;

 

Acting as lead Georgian counsel to a CIS operating company on all matters related to the construction and operation of the western route early oil pipeline through Georgia and the terminal at Supsa;

 

Acting as lead counsel to an international oil and gas company on all matters related to its Production Sharing Agreement ("PSA") and joint venture in Eastern Georgia;

 

Acting as lead counsel to an aviation fuel subdivision of a major world energy company in the formation and operation of aviation fuel transit and refueling services joint venture;

 

Acting as lead counsel to an international petroleum company in the formation of a joint venture to build and operate an oil products terminal at Poti Port on the Black Sea coast of Georgia;

 

Acting as lead Georgian counsel to an international consortium of oil companies on syndicated secured financing by the EBRD and IFC of major Caspian export pipelines;

 

Advising a major international oil and gas company on the development, negotiation and implementation of a 300 million USD LPG terminal on the Black Sea Coast and associated transportation links (rail, marine and pipeline);

 

Advising several US and European petroleum companies on PSA transactions in Georgia;

 

Advising two major western oil and gas companies on PSA farm-in arrangements in Georgia;

 

Acting for a US oil company in due diligence on its Georgian subsidiary, assets and operations for an AIM listing;

 

Representing a Turkish petroleum operations company on the establishment of its operations in Georgia, including advice on the lease of airport real estate and licensing and regulatory issues in respect of jet fuel sale and trading;

 

Corporate and regulatory advice to an international logistics company on certain aspects of its Georgian operations;

 

Full scope of Georgian legal support to a lead UK-based provider of mechanical engineering services in the oil and gas industry with respect to its set up and extensive operations in Georgia related to construction, commissioning and maintenance support to BP and BP-led consortia with respect to all three major oil and gas pipeline projects transiting Georgia (BTC, SCP/SCPX and WREP projects);

 

Advising a lead German railway operator and their engineering consultancy firm in connection with all aspects of their extensive involvement in the Tbilisi Railway Bypass and Modernization Projects commissioned by Georgian Railway, including complex corporate/contractual structuring and tax/regulatory compliance matters;

 

Legal/tax structuring advice and due diligence with respect to acquisition of Kulevi Black Sea Terminal;

 

Advising the owners and operators of Batumi Oil Terminal, in dealings with the Georgian Government and acquisition of the terminal by the national oil and gas company of Kazakhstan, including comprehensive legal due diligence of the terminal;

 

Advising UAE-based large international port operator on concession and development of the major Black Sea port, including a full-scope legal due diligence of Poti Sea Port in connection with its contemplated acquisition by DP World and proposed Free Industrial Zone by JAFZA;

 

Advising a British private equity fund on a tender for acquisition of concession to build and operate a tunnel and a toll road;

 

Corporate advice and support to several European airlines in relation to their Georgian operations;

 

Acting as lead counsel to a major international aircraft manufacturer in negotiations with Georgian Airlines for the finance lease of passenger jets;

 

Regulatory advice to a German airline on certain aspects of its Georgian operations;

Advising a leading European hydro power operator, developer and supplier of electricity in CEE & Middle East with respect to its Georgian operations;

 

Acting for a Georgian subsidiary of a Scandinavian maritime shipping company in relation to a Poti Port cargo terminal matter;

 

Georgian import and operations advice to an Australian company specializing in drone technologies and surveillance and data processing services;
